Introduction

Welcome to IRS HR! We're excited to have you on board. Before you begin using our services, we need you to review and accept these terms of use. We have tried to explain everything clearly, so it's understood what we expect from you and what you can expect from us.

These are your legal rights and obligations, so please read everything carefully. If you cannot agree to our terms, then you cannot use our services. If you have any questions after reading these terms, please contact us through our
support portal.

Joining and using IRS HR
This section explains how to subscribe to and use our services. When you see a word in bold, it will have the same meaning every time it's used within these terms.
  • You and IRS HR: When we say you or your, we mean both you and any entity or firm you're authorised to represent. When we say IRS HR, we, our or us, we are referring to International Recruitment Solutions Limited, the company you contract with. Our details are in section 31.
  • Our services: Our services consist of all the services we provide now or in the future, including our online and mobile human resources and recruitment platforms.
  • Creating a subscription: When you create a subscription to use our services and accept these terms, you become a subscriber. If you're the subscriber, you are the one responsible for paying for your subscription.
  • Employees, solicitors, and managers invited to use IRS HR: An employee, solicitor, or manager user is a person other than the subscriber who has been invited to use our services through a subscription. If you're an employee, solicitor, or manager user, you must also accept these terms to use our services.
  • User roles and access: As a subscriber inviting others into a subscription, you should understand the permissions you're granting to employee users and manager users. If you are a business using a solicitor as an invested user, you should clarify the terms of that access with them directly.
  • Your responsibilities: You promise that you will keep your information (including a current email address) up to date. You are responsible for providing true, accurate, and complete information. You are also responsible for protecting your username and password from being stolen or misused. Our service has minimum password standards, but you must ensure that passwords are very strong and not easily guessable. We cannot and will not be liable for any loss or damage arising from your failure to comply with the above.
  • Data Storage: Each subscription includes a data storage limit of 5 GB. It is your responsibility to monitor your data usage. Should your account exceed this limit, we reserve the right to restrict your ability to upload new data. We will notify you if you are approaching or have exceeded your limit and may provide you with options to reduce your storage or purchase additional storage, if available.
  • What we own: We own everything we have put into our services unless otherwise stated and excluding content owned by others. This includes rights in the design, compilation, and look and feel of our services. It also includes rights in all copyrighted works, trademarks, designs, inventions, and other intellectual property. You agree not to copy, distribute, modify or make derivative works of any of our content or use any of our intellectual property rights in any way not expressly permitted by us.
  • Pricing
  • IRS HR pricing plans: Your use of our services requires you to pay a monthly subscription fee based on your subscription type. The pricing plan consists of the subscription and subscription fees we offered you, including invoicing, payment, auto-renewal and cancellation terms. We may update or amend the pricing plan from time to time.
  • Taxes for your use of our services: You're responsible for paying all other external fees and taxes associated with your use of our services wherever levied. Subscription fees are exclusive of VAT where relevant.
  • Importance of timely payments: To continue accessing our services, you need to make timely payments. If we don't receive timely payments, we may suspend access to your subscription until the payment is made.
  • Data Use and Privacy
  • Use of data: When you enter or upload your data into our services, we don't own that data but you grant us a licence to use, copy, transmit, store, analyse, and back up all data you submit to us through our services, including personal data of yourself and others, to: enable you to use our services; allow us to improve, develop and protect our services; create new services; and communicate with you about your subscription.
  • Our Privacy Notice: We respect your privacy and take data protection seriously. Our privacy notice describes how we process your own personal data that you enter into IRS HR, like your name and email address. You can read our privacy policy here.
  • Anonymised statistical data: When you use our services, we may create anonymised statistical data from your data and usage of our services, including through aggregation. Once anonymised, we may use it for our own purposes, such as to provide and improve our services, to develop new services or product offerings, and to identify business trends.
  • Security
  • Security safeguards: We've invested in technical, physical and administrative safeguards to do our part to help keep your data safe and secure. While we have taken steps to help protect your data, no method of electronic storage is completely secure and we cannot guarantee absolute security.
  • Playing your part to secure your data: You have an important part to play by keeping your login details secure, not letting any other person use them, and by making sure you have strong security on your own systems. If you realise there has been any unauthorised use of your password or any breach of security to your account, you need to let us know immediately.
  • Maintenance, Downtime and Data Loss
  • Availability: We strive to maintain the availability of our services. On occasion, we need to perform maintenance, and this may require a period of downtime. We try to minimise any such downtime. Where planned maintenance is being undertaken, we'll attempt to notify you in advance but can't guarantee it.
  • Data loss: Data loss is an unavoidable risk when using any technology. You are responsible for maintaining copies of your data entered into our services.
  • Modifications: We frequently release new updates, modifications and enhancements to our services, and in some cases discontinue features. Where this occurs, we'll endeavour to notify you where practical.
  • Termination
  • Termination by you: You may choose to terminate your subscription at any time by cancelling your subscription plan. You will still need to pay all relevant subscription fees up to and including the day of termination.
  • Termination by IRS HR: We may choose to terminate your subscription at any time by providing you with one month's written notice in advance. We may also terminate or suspend your subscription or access to all or any data immediately if you breach any of these terms and do not remedy the breach within 14 days of notice, or if the breach cannot be remedied.
  • No refunds: No refund is due to you if you terminate your subscription or we terminate it in accordance with these terms.
  • Retention of your data: Once a subscription is terminated, it is archived and the data is no longer available to you. We retain it for a period of time consistent with our data retention policy. You can get in touch with us to have your data removed completely if you wish.
  • Liability and Indemnity
  • You indemnify us: You indemnify us against all losses, costs (including legal costs), expenses, demands or liability that we incur arising out of, or in connection with, a third-party claim against us arising from your use of our services.
  • Disclaimer of warranties: Our services are made available to you on an "as is" basis. Subject to the rights you have under law, we disclaim all warranties, express or implied, including any implied warranties of non-infringement, merchantability and fitness for a particular purpose.
  • Limitation of liability: Our total aggregate liability to you in any circumstances is limited to the total amount you paid us for your subscription in the 12 months immediately preceding the date on which the claim giving rise to the liability arose.
  • Disputes
  • Dispute resolution: Most concerns can be resolved quickly by contacting our support team. If we're unable to resolve your complaint to your satisfaction, you and we agree to resolve those disputes through binding arbitration or the small claims court instead of in courts of general jurisdiction.
  • Important Housekeeping
  • No professional advice: IRS HR is not a professional services firm and is not in the business of giving professional HR, immigration, or legal advice. Information we provide should not be seen as a substitute for professional, immigration, or legal advice and we are not liable for your use of the information in that way.
  • Events outside our control: We aren't liable to you for any failure or delay in performance of any of our obligations under these terms arising out of any event or circumstance beyond our reasonable control.
  • Notices: Any notice you send to us must be sent to care@irslimited.co.uk. Any notices we send to you will be sent to the email address you have provided to us.
  • Changes to these terms: We may change these terms of use from time to time. Changes won't apply retrospectively. We will endeavour to provide you with 30 days' notice of material changes before they become effective.
  • IRS HR Contracting Entity, Law and Venue: Your contract is with International Recruitment Solutions Limited and will be governed by the laws of England and Wales.
